Protecting Your Jewelry Designs in OEM Manufacturing

Holycome Editorial · September 13, 2026 · 12 min read

Your OEM factory can make your design - and sell it to your competitor. Here is how to protect the IP without slowing production.

Protecting Your Jewelry Designs in OEM Manufacturing

A private-label design is an asset. The factory that makes it for you also has the CAD file, the wax model, and the casting tooling. Nothing stops them from running the same design for another brand unless you have structured the relationship to prevent it. IP protection in OEM manufacturing is not about legal threats. It is about the paperwork and the tooling ownership that make it economically painful for the factory to resell your design. Here is how to set it up.

CAD design files and tooling stored in a labeled factory drawer
The CAD file and the tooling are the IP. Whoever holds them has the power.

The NDA: table stakes, not the solution

Start with a mutual NDA. Most factories will sign one without argument, and it creates a legal basis if the design is leaked. But an NDA is not enforceable across borders in any practical way. A Chinese factory that breaches an NDA with a US brand is unlikely to be sued in a Chinese court, and the damages are hard to prove. The NDA is a signal, not a shield. It sets the expectation that the design is confidential, and it matters if the dispute ever reaches a platform like Alibaba.

Tooling ownership: the real lever

The thing that actually stops a factory from reselling your design is who owns the tooling. When you pay for the wax model, the casting die, or the custom setting tooling, that tooling should be documented as yours. Ask the factory to write into the PO that the custom tooling is the property of the buyer and that it will not be used to produce for other customers. This is enforceable in practice because the factory cannot easily reuse tooling that they have documented as yours - and if they try, you have a written record.

For CAD files, ask the factory to return the files to you after the order. Some factories hold CAD files as a way to lock you into reordering. You should own the files for your own designs, even if you continue to use the same factory.

Design patents and trademarks

ProtectionWhat it coversCost (US)When it matters
NDAConfidentiality expectationFree / legal reviewEvery OEM order
Design patentThe ornamental look of the piece$1,500-$3,000Unique, signature designs
Utility patentA functional mechanism (e.g. hidden clasp)$5,000-$15,000Rarely needed for jewelry
TrademarkYour brand name and logo$250-$350 per classEvery brand, immediately

Design patents are worth it for signature designs that define your brand. They are not worth it for every SKU. Most brands trademark the brand name and logo, and file design patents on the 2-3 hero pieces that carry the line. The rest rely on NDA and tooling ownership.

How to detect if your design is being resold

Factories that resell designs usually list them on Alibaba or sell them to other buyers in the same cluster. Search for your design on reverse image search and on Alibaba every six months. If you see your exact design from another supplier, you have a paper trail: the NDA, the tooling ownership clause, and the original CAD approval. That paper trail is usually enough to get the listing pulled, even if a lawsuit is not practical.

Practical steps on the first order

  1. Sign an NDA before sending any original design files.
  2. Write tooling ownership into the PO.
  3. Trademark your brand name in your home market before launch.
  4. File a design patent on your 2-3 signature pieces.
  5. Ask for the CAD files back after the order completes.
  6. Search for your design online every six months.

What to do when you see your design listed elsewhere

If you find your exact design on Alibaba or from another supplier, the practical first step is not a lawsuit. It is a takedown request to the platform, supported by your NDA, your tooling ownership clause, and the original CAD approval. Platforms usually comply within days. If the supplier is a known factory in the same cluster, a direct email referencing the NDA often stops the listing. Lawsuits are rare and expensive; the platform route and the direct conversation solve most cases.

IP protection in OEM manufacturing is not about lawyers. It is about the paper trail that makes the factory think twice. The NDA, the tooling ownership clause, the trademark, and the design patent on your hero pieces together create a structure where reselling your design is more trouble than it is worth. You do not need to litigate. You need to make the default behavior be to honor the agreement. That happens with paperwork, not threats.

We sign NDAs on every OEM order, document tooling ownership on the PO, and return CAD files to the buyer on completion. More on our IP and tooling terms is on the OEM & ODM page. The protection is not paranoia; it is the paperwork that makes the factory think twice before running your design for someone else.
