Terms governing wholesale trade

Terms of Service

The commercial terms that apply to quotations, orders, production, delivery and disputes when buying from Holycome as a trade customer.

These terms apply to all quotations, orders and supply of goods by Wuzhou Holycome Jewelry Co., Ltd. to trade customers. Placing an order confirms acceptance of them.

Quotations and pricing

  • Quotations are valid for 30 days unless stated otherwise; metal-linked pricing is held for 7 days.
  • Prices are exclusive of freight, insurance, duty, VAT and any destination charges unless expressly included.
  • Volume tiers apply to quantities within a single order and may be mixed across designs.
  • We reserve the right to correct obvious pricing errors before production begins.

Orders and specifications

  1. An order becomes binding when we confirm it in writing and receive the agreed deposit.
  2. Specifications are fixed by the signed approval sheet. Stone grade, metal, gram weight tolerance, plating thickness and dimensions are recorded there.
  3. Changes requested after production begins may be refused or may incur additional cost and delay.
  4. Buyer-supplied designs must not infringe third-party intellectual property. You warrant that you hold the rights to any design you ask us to produce.

Payment

  • Standard terms are 30% deposit with order and 70% before shipment, unless otherwise agreed in writing.
  • Production slots are held for five working days pending deposit; after that the slot may be released.
  • Bank charges are borne by the party incurring them. Title to goods passes on receipt of full payment.

Delivery

  • Lead times are estimates given in good faith from the date of deposit and approval, excluding transit and customs clearance.
  • Risk passes in accordance with the agreed Incoterm; where none is stated, risk passes on handover to the carrier.
  • We are not liable for delays caused by customs, courier disruption, force majeure or incorrect documentation supplied by the buyer.

Inspection, returns and defects

  • Buyers should inspect on receipt and notify discrepancies within 7 days of delivery.
  • Stock items may be returned within 30 days under the conditions in our Returns & Exchanges policy.
  • Manufacturing defects are remedied by repair, replacement or credit at our discretion, and are not limited to the 30-day window.
  • Custom production matching the signed approval sheet is not returnable.

Intellectual property

Designs, CAD files, moulds and tooling developed specifically for a buyer remain the buyer's property once tooling costs are paid in full, and are not reused for other customers. Catalogue designs, photography and website content remain the property of Wuzhou Holycome Jewelry Co., Ltd.

Liability

Our liability for any claim is limited to the invoiced value of the goods concerned. We are not liable for indirect or consequential loss, including lost profit, lost sales or reputational harm. Nothing in these terms limits liability that cannot lawfully be limited.

Confidentiality

Each party will keep the other's commercial information confidential and use it only to perform the supply relationship. We will sign a mutual non-disclosure agreement on request before development work begins.

Governing terms and disputes

These terms are governed by the laws of the People's Republic of China. The parties will first attempt to resolve any dispute through good-faith negotiation, and failing that through arbitration or the competent courts of Wuzhou, Guangxi.

Version 2025.1

Force majeure

Neither party is liable for failure to perform caused by events outside reasonable control, including natural disaster, epidemic control measures, port or customs closure, courier network failure, industrial action, or government export restrictions. The affected party will notify the other promptly and the delivery date is extended by the duration of the event. If the event continues beyond 60 days, either party may cancel the affected portion of the order, with deposit refunded for goods not yet produced.

Notices and communication

Order confirmations, specification approvals, change requests and claims are valid when exchanged in writing by email between the buyer's nominated contact and the seller's account manager. Verbal agreements are not binding unless confirmed in writing within five working days. This matters most for specification changes, which is why we require approval-sheet sign-off before production begins.

Severability and entire agreement

If any provision of these terms is found unenforceable, the remaining provisions continue in effect. These terms, together with the confirmed quotation, approval sheet and proforma invoice, constitute the entire agreement between the parties for the supply concerned and supersede prior discussions. Where a buyer's own purchase-order terms conflict with these terms, these terms prevail unless we have agreed otherwise in writing, signed by an authorised representative.
