These terms apply to wholesale orders placed with Wuzhou Holycome Jewelry Co., Ltd. They exist to make expectations measurable rather than assumed. Where a signed proforma invoice or approval sheet states different terms, that document takes precedence for that order.
1. Quotations and validity
- Quotations are issued in USD and itemise stone, metal, labour, plating, packing and certification as separate lines wherever requested.
- Quoted prices are valid for 15 days from issue. On gold product lines, metal-linked pricing is held for 15 days only, because of metal price movement. Silver lines are typically held for 30 days.
- Certification and third-party grading are quoted separately. They are not included in the unit price unless stated.
- Freight is quoted separately by service level, express, economy or air freight, and is not included in FOB unit pricing.
- A quotation becomes an order only when a proforma invoice is issued and the deposit is received.
2. Minimum order quantities
| Order type | Standard MOQ | Notes |
|---|---|---|
| Stock design, stock specification | 10 to 20 pcs per design | Picked from an existing production run |
| Stock design, changed metal or stone | 20 to 50 pcs per design | Requires an alloy or plating batch |
| New design from your reference, silver | 30 pcs per style | Includes CAD and a mould |
| New design from your reference, gold | 10 pcs per style | Higher unit value supports a lower MOQ |
| Mixed-design wholesale lot | 50 pcs total | May combine designs in the same metal |
| Trial orders below MOQ | Accepted at list price | A setup charge applies and is credited against the first volume order |
3. Payment schedules
| Instrument | Schedule | Notes |

| T/T bank transfer | 30% deposit, 70% before shipment | Standard terms for all accounts |
| Platform escrow | Deposited in full, released on confirmation | Used for first orders with new accounts |
| PayPal or card | 100% upfront | Transaction fees apply; normally used for trial orders |
| Open account, 30 days | Invoiced after shipment | Available after three clean shipments and a written volume forecast |
| Letter of credit | At sight, or 30 to 60 days | Orders above approximately 50,000 USD |
Bank details are issued on the proforma invoice only. We never change bank details by email alone. Any change is confirmed through a second channel with a named contact, and we ask you to verify before transferring.
4. Approval sheet and change orders
Before bulk production begins, both parties sign a one-page approval sheet covering stone grade and tolerances, metal and purity, plating thickness in microns, target weight per piece, dimensions, packing specification and lead time in working days. Bulk production is measured against this document.
- Changes requested after approval and before production starts are accepted where feasible, and are re-quoted if they affect stone, metal or mould.
- Changes requested after production starts are treated as a new order for the affected quantity, and the delivery date is re-set accordingly.
- Where no approval sheet is signed, the original proforma invoice specification is the reference.
5. Lead times and delivery
| Stage | Typical duration |
|---|---|
| Stock specification | 7 to 15 working days from deposit |
| Custom or OEM production | 12 to 20 working days from sample approval |
| Gold casting runs | Add 5 to 7 working days |
| Third-party certification | Add 5 to 12 working days |
| QC and packing | 3 to 5 working days |
| Express transit | 3 to 7 days to the EU and North America |
Lead times are quoted in working days and start from the later of deposit receipt or approval sheet signature. Where a delay is caused by our production, we notify you in writing within 48 hours of identifying it and provide a revised dispatch date.
6. Inspection rights
- You may inspect goods before shipment, either in person or through a third-party inspection agency appointed at your cost.
- We provide pre-shipment photographs of the finished goods, the packed cartons and their weights before sealing, at no charge.
- Where inspection identifies goods outside the approved specification, we correct the affected pieces before dispatch at our cost.
- On arrival you have 14 days from delivery to raise a claim. Claims should include photographs with the SKU label visible.
7. Cancellation
| Cancellation point | Consequence |
|---|---|
| Before CAD or mould work begins | Deposit refunded in full, less any bank charges |
| After CAD, before mould | CAD cost deducted; balance refunded |
| After mould, before production | Mould and material cost deducted; balance refunded |
| After production begins | Deposit is not refundable; finished and part-finished goods may be shipped against the balance |
8. Remedies where goods do not conform
Where goods fall outside the tolerances on the approval sheet, we remedy in the following order of preference, at your choice.
- Remake the affected pieces at our cost, with priority scheduling.
- Credit the affected pieces at the invoiced value, applied against your next order.
- Refund the affected pieces where a remake is not commercially sensible.
Remedies apply where the deviation exceeds the agreed tolerances. Normal trade variation, being colour within one grade, weight within plus or minus 5%, and dimensions within 0.2 mm, is within specification and is not a defect.
9. Title, risk and insurance
- Title passes on receipt of cleared payment in full.
- Risk passes according to the agreed Incoterm. Under FOB and EXW, risk passes on collection by the carrier. Under CIF and DDP, it passes according to the named term.
- All shipments are insured at full invoice value by default. Carriers limit liability on undeclared value, so under-declaration is not a saving.
10. Governing terms
These terms are governed by the laws of the People Republic of China. Disputes are first referred to good-faith negotiation between the parties, then to arbitration or the courts of the respondent jurisdiction as agreed in the proforma invoice. Both parties retain the right to agree a different dispute forum in writing for a specific order.
